SoundPage is operated by SoundPage LLC (“SoundPage”, “we”, “us”, or “our”). SoundPage provides an online platform that lets users build a public, shareable storefront to showcase and sell digital audio products and creator services.

Your use of the SoundPage website, seller dashboard, storefront pages (including wav.id pages), and related services (collectively, the “Platform”) is subject to the following terms and conditions (“Terms”). By using the Platform, you acknowledge that you have read and understand these Terms, and you agree to be bound by them. If you don’t understand or accept any part of the Terms, you may not use the Platform.
We reserve the right to update these Terms from time to time, and by continuing to use the Platform you agree to the revised Terms once they appear on the Platform.
THE PLATFORM 1.1 Description. The Platform allows users to (a) create a public profile and storefront page, (b) upload and display digital content for preview and sale, and (c) sell digital products and services to end users. The Platform includes an embedded audio player to preview certain content, a shopping cart checkout flow, and a seller dashboard with sales and analytics reporting.
1.1.1 Sellers. If you create a storefront and offer products or services for sale through the Platform, you are a “Seller”. Sellers may offer digital products (including, for example, sample packs, individual audio files, beats, stems, MIDI files, and similar digital assets) and services (for example, custom work or one-on-one calls), as made available through the Platform (collectively, “Seller Offerings”).
1.1.2 Customers. If you browse a storefront and/or purchase Seller Offerings, you are a “Customer”.
1.1.3 You. However a user may interact with our Platform (e.g., whether as a Customer, a Seller, or a prospective Customer or Seller) they may be referred to in these Terms as “you” or “your”.
1.2 Platform role. SoundPage is a platform provider. Sellers are independent third parties who list and sell Seller Offerings through the Platform, and are responsible for their Seller Offerings, including content, pricing, descriptions, usage rights, license terms, and fulfillment of any services. SoundPage does not endorse, verify, create, or own Seller Offerings and is not a party to the agreement between a Seller and a Customer, except as set out in these Terms (including the payment processing and payout terms). If either the Seller or the Customer has a problem with Seller Content, Seller Offerings and/or adherence to Seller Terms (for example, because one of them didn’t abide by these Terms and/or the Seller Terms), SoundPage is not responsible—the Seller or Customer who didn’t follow the Terms and/or Seller Terms is. We take violations of our Terms seriously, and reserve the right to take action against users who violate the Terms and/or Seller Terms applicable to them (which is covered elsewhere in these Terms). You should certainly report any problems to us. But at the end of the day, when you use our Platform you are taking on the risk that the Seller or Customer you deal with doesn’t honor the Terms and/or Seller Terms, and you may have to go after them directly to resolve any problems or claims.
1.3 Technology partners. Certain technical components of the Platform may be powered by third-party software. Users do not contract with any such third party technical partners of SoundPage through these Terms. You may be permitted to use your login credentials with a third party platform to sign into (or otherwise link with) your SoundPage account (including for example WAVS credentials) (the “Third Party Credentials”), but your use of Third Party Credentials in connection with SoundPage do not subject the provider of such third party platform to the Terms, or otherwise render such third party a party to these Terms.
1.4 We own all legal rights (including the intellectual property rights) in the Platform, and any content on the Platform is either owned by us, or provided by others (by license) to us or to make available by Sellers to Customers. The Platform and content on it are protected by international copyright laws and database rights. Subject to any Customer’s rights you obtain in connection with Seller’s Terms, and a Seller’s right to remove Seller Content from the Platform, nothing on the Platform grants you any license or right to use, alter or remove content or material on the Platform, including without limitation part or all of any or all Seller Content on the Platform. You may not use SoundPage trademarks, logos or other intellectual property without our prior written permission.
1.5 We do not guarantee that the Platform, or any content on it, will always be available or be uninterrupted. The quality of the Platform may be affected by a number of factors including, for example, network connection and internal network, as well as any interference or maintenance work. If a disruption or disturbance occurs on the Platform or a part of it, or if the Platform or a part of it is temporarily out of use or inoperative due to repair or maintenance work, updates or reasons beyond our control (force majeure), you accept that such interruptions, disturbances or disruptions do not constitute a defect or delay of or in the Platform, and, to the extent permitted by law, we shall not be liable for any consequences of or damages resulting from such interruptions, disturbances or disruptions. We or a third party shall seek to repair the problems or failures as soon as possible and to restore the Platform to use as soon as possible under the circumstances.
1.6 We may suspend, withdraw, discontinue or change all or any part of the Platform without notice.
1.7 We do not guarantee that the Platform, or any content on it (including without limitation Seller Content), will be free from errors or omissions or infringing or unlawful content.
YOUR ACCOUNT 2.1 Setting up. In order to use the Platform, you need to register an account. You agree to provide accurate information and to keep it current. It is your responsibility to keep your login credentials confidential. If you suspect that your account is being used by someone else, contact us immediately. If we suspect misuse, we reserve the right to suspend or terminate your account.
2.2 Age and legal capacity. To use the Platform, you must be over 18 years old and legally capable of entering into binding contracts. By registering an account, you confirm this is the case.
2.3 Public profiles. Sellers will have a public storefront page that may display information such as seller name or handle, profile images, social links, products, and other information provided by the Seller. You authorize us to display this information publicly as part of operating the Platform.
2.4 Additional Documents. We may ask for additional documentation from Sellers, including for example without limitation identification documents and/or tax information documents (e.g., an IRS W-9). We reserve the right to verify your submitted information, and there may be a waiting period between your submission and your profile becoming “active” for uploading Seller Content or offering Seller Offerings.
SELLER STOREFRONTS AND CONTENT 3.1 Seller content. Sellers may upload audio files, artwork, text, and other materials used to market and deliver Seller Offerings (“Seller Content”, which for the avoidance of doubt includes any completed Seller Offerings). Sellers are solely responsible for their Seller Content.
3.2 Rights you grant to SoundPage. By uploading or providing Seller Content, you grant SoundPage a non-exclusive, worldwide, royalty-free license to host, store, reproduce, distribute, publicly display, and make the Seller Content available through the Platform, solely for the purpose of operating, promoting, and improving the Platform and enabling Seller Offerings to be previewed and purchased.
3.3 Your representations. By uploading Seller Content or listing Seller Offerings, you represent and warrant that: (a) you own and have sufficient rights to upload and sell the Seller Offerings and related content without the consent or compensation of any third person, (b) your Seller Content does not infringe the rights of any third party, (c) your listings are not misleading, and (d) your Seller Content and Seller Offerings do not violate any of our Terms.
3.4 Usage rights and licenses. Sellers may describe usage rights, license terms, or restrictions that apply to their Seller Offerings (collectively, the “Seller Terms”). Customers agree to comply with any applicable Seller Terms associated with the purchased Seller Offering on the Platform. Sellers are responsible for ensuring their described Seller Terms are accurate and enforceable. SoundPage does not provide legal advice to Sellers or Customers regarding licensing.
3.5 Quality control and moderation. We may, but are not obligated to, review, remove, restrict, or disable access to Seller Content or Seller Offerings at any time, including for quality, legal, or policy reasons.
PURCHASES, PAYMENTS, AND PAYOUTS 4.1 Checkout and payments. The Platform enables Customers to purchase Seller Offerings, but all payments are processed by third-party payment processors (for example, but without limitation or obligation, PayPal) (each a “Payment Processor”). We may collect and/or obtain basic information in connection with your use of Payment Processor in connection with the Platform.
4.2 Payment Processors. Because payments and payouts are handled through Payment Processors, you will may be required to agree to the applicable terms of those services. We are not responsible for issues caused by Payment Processors. You are responsible for maintaining your account(s) with Payment Processors and complying with their terms of service.
4.3 Fees. We may charge Sellers fees for use of the Platform, including without limitation subscription fees, transaction fees, and other fees disclosed on the Platform (e.g., and which such fees may for example without limitation be paid to us directly by the Payment Processor as a withheld amount from funds otherwise payable to Sellers). For example, certain paid plans may include a monthly subscription fee and/or per-transaction fees (which may be fixed or function as a percentage of the transaction amount). Current fees are described on the Platform and may change as described in Section 4.8.
4.4 Seller earnings and balances. After a Customer purchase, funds (net of applicable fees, refunds, disputes, chargebacks, taxes, and other adjustments) will be issued to the Seller via their account with the Payment Processor. The Platform dashboard may show analytics such as page views, plays, and payments, but we do not guarantee that dashboard information will always be accurate or available in real time.
4.5 Payouts to Sellers. We may request that Payment Processors delay or withhold payouts if we reasonably believe there is fraud, policy violation, legal risk, or unresolved disputes.
4.6 Digital goods and services. Many Seller Offerings are digital and may be delivered immediately or made available for download. Customers are responsible for ensuring they can access the content after purchase. Service-based offerings (for example custom work) are fulfilled by the Seller, not SoundPage, unless explicitly stated otherwise.
4.7 Refunds and disputes. We do not offer refunds except as required by applicable law. Certain digital purchases may be non-refundable once delivered or accessed, subject to consumer protection laws that may apply in your jurisdiction. Chargebacks and payment disputes may result in deductions from Seller balances.
4.8 Changes. We may change pricing, fees, payout rules, and supported payment methods or Payment Processors at any time by posting updates on the Platform or by notifying users via email.
4.9 Merchants. For the avoidance of doubt, Sellers are the merchant of record for transactions regarding their Seller Content, and are solely responsible for fulfillment, payment of applicable taxes, and compliance with applicable laws.
THIRD PARTY SERVICES 5.1 Links and integrations. The Platform may include links to or integrations with third-party services (including payment processors and social platforms). We do not control and are not responsible for third-party services.
5.2 Social links and embeds. Sellers may connect social links or embed third-party content. Sellers are responsible for ensuring they have the rights to use and display that content.
USER RULES AND RESTRICTIONS 6.1 Prohibited conduct. In connection with your use of the Platform, you agree you will not:
6.1.1 impersonate any person, misrepresent affiliation, or use the Platform for unlawful purposes;
6.1.2 upload content that infringes intellectual property rights or violates privacy or publicity rights;
6.1.3 upload malware or attempt to interfere with the Platform’s security, performance, or functionality;
6.1.4 scrape or harvest data from the Platform without permission, including without limitation as a source or training material for generative or other types of artificial intelligence models;
6.1.5 attempt to reverse engineer or derive source code from any part of the Platform;
6.1.6 use the Platform to spam, harass, or abuse other users;
6.1.7 post, display, or sell illegal content, stolen content, or content you do not have rights to sell;
6.1.8 violate applicable tax, consumer protection, or e-commerce laws related to your Seller Offerings;
6.1.9 use virtual private networks, false email addresses or any other means to mask your identity;
6.1.10 abuse, manipulate, or cheat any ratings or popularity system on the Platform;
6.1.11 upload, share or submit content that is or may be interpreted as obscene, indecent, pornographic, sexually explicit, libelous, maliciously false, inaccurate, misleading, depicting violence (in an explicit, graphic or gratuitous manner), offensive, deceptive, threatening, abusive, harassing, menacing, hateful, discriminatory or cause annoyance, inconvenience or needless anxiety to any person or be in breach of hate speech or discrimination legislation;
6.1.12 do or omit to do anything which would bring us, the Platform, Sellers, Customers, or other users into disrepute or in any way damage our or their reputation;
6.2 Enforcement. We may suspend, restrict, or terminate your account if we believe you have violated these Terms or pose risk to the Platform, users, or third parties.
COPYRIGHT INFRINGEMENT AND CONTENT TAKEDOWN 7.1 No obligation to monitor. We have no obligation to monitor or remove content, but we may do so in our discretion.
7.2 Takedown notices. If you believe content on the Platform infringes your copyright, please notify us with sufficient detail to locate the content and verify your claim. We will process notices in accordance with applicable law (including the DMCA, if applicable).
7.3 Contact for notices. Send notices to: help@soundpage.com and include (without limitation): (a) your full name, address and telephone number and a valid email address at which you can be contacted, (b) identification of the work claimed to be infringed, (c) identification of the infringing material and its location on the Platform, and (d) a statement made under penalty of perjury that your claim is accurate and you are authorized to act.
LIMITATION OF LIABILITY 8.1 As-is. To the extent permitted by law, the Platform is provided on an “as-is” and “as-available” basis. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We will not be liable to you for any lack of performance, or the unavailability or failure of the Platform or our services, or for any failure by us to comply with these Terms, where such lack, unavailability or failure arises from any cause reasonably beyond our control. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Platform or to your downloading of any content on it (including without limitation Seller Content), or on any website linked to it (including without limitation payment processors).
8.2 No liability for Seller Offerings or Seller Terms. We are not responsible for Seller Offerings, Seller Content, enforcement of Seller Terms, or disputes between Sellers and Customers, including fulfillment of services, quality of goods, licensing terms, or rights clearance. We do not warrant in any way that Sellers or Customers will abide by the Seller Terms, and we will not be liable for violation of Seller Terms by either Sellers or Customers. If you are a Seller or Customer and believe that the other party has violated the Seller Terms between you, you should notify us, but you are ultimately responsible and empowered to pursue action against the party in connection with the Seller Terms entered into between you. We reserve the right to take our own action against users who violate our terms (including without limitation Sellers and Customers who violate Seller Terms they have entered into), but that is separate and in addition to any claims and rights our Sellers and Customers may have against each other.
8.3 Users of the Platform may be entitled to various statutory warranties (including, for example, that any service is carried out with reasonable care and skill, and any digital content provided is of satisfactory quality). Nothing in these Terms shall have the effect of excluding or limiting those statutory warranties that may not be excluded or limited under applicable law.
8.4 Where we provide digital content through the Platform, then the following will apply for consumers resident in the European Union:
8.4.1 If a digital file is faulty, users may be entitled to request that it is repaired or replaced;
8.4.2 If the fault cannot be fixed within a reasonable time, the user may be entitled to receive a full or partial refund of the amount paid for the digital file; and
8.4.3 If the user can demonstrate that the fault has damaged their device and that the providing party has not used reasonable skill and care, then that user may be entitled to a repair or to compensation.
8.5 Limitation. To the extent permitted by law, our total liability to you for claims relating to the Platform will be limited to the amounts you paid to us (if any) in the 12 months before the event giving rise to the claim.
8.6 Exclusions. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, except where such exclusions are prohibited by law.
MISCELLANEOUS TERMS 9.1 Privacy. Our collection and use of personal information is governed by our Privacy Policy.
9.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
9.3 Assignment. You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations.
9.4 No waiver. If we delay exercising or fail to exercise or enforce any right available to us under these Terms, such delay or failure does not constitute a waiver of that right or any other rights under these Terms.
9.5 Governing law. These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict of law principles. Any disputes will be submitted to the state or federal courts located in Clark County, Nevada, USA, except where prohibited by applicable law.
9.6 Indemnity. You agree to defend, indemnify, and hold us harmless from and against claims arising out of your breach of these Terms, Seller Terms, or your Seller Offerings or Seller Content, including reasonable legal fees and costs. This includes without limitation paying our legal fees and expenses, and paying any of SoundPage’s related damages, costs, and expenses, except for settlements entered into without your written approval. We will have the right to have our own counsel participate in our defense (in addition to any you retain to defend us), provided that we cover the cost of any such additional counsel provided by us. We will notify you of any Claims.
